Terms of Service
These terms govern use of proenzyme.in, product enquiries, quotations, orders, technical information and related services provided by ProEnzyme.
Last updated: 1 October 2026
1. Acceptance of these terms
By accessing this website, creating an account, requesting documents or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.
2. Website and technical information
ProEnzyme provides information about papain products, applications, quality documents and technical trial planning. Website content is general information. It does not replace the final product specification, certificate of analysis, safety data sheet, contract or written technical agreement for the supplied grade.
Application guidance is based on general enzyme knowledge and the information supplied by the customer. Each customer remains responsible for trials, scale-up, finished-product safety, regulatory approval, labels and claims.
3. Product enquiries and quotations
- Quotations are subject to product availability, technical review and acceptance by ProEnzyme.
- Prices remain valid only for the period stated and exclude taxes, duties, freight and other charges unless the quotation says otherwise.
- The customer must confirm the exact product, activity, grade, quantity, pack size, delivery location and documentation required.
- A sample or trial result does not guarantee identical performance in a different formulation, process or production scale.
4. Orders and payment
All orders require written acceptance by ProEnzyme. We may refuse or cancel an order where material is unavailable, payment or compliance requirements are not met, information is incomplete or the intended use creates a legal, safety or reputational risk.
Payment terms, currency and approved payment method are stated in the quotation or contract. Advance payment, a deposit, bank transfer, letter of credit or other agreed security may be required. Late-payment charges may apply where stated in the commercial agreement.
5. Delivery, inspection and risk
Delivery terms, shipping responsibilities and transfer of risk follow the Incoterm or other condition stated in the quotation or contract. Delivery dates are estimates unless expressly guaranteed in writing. Customs duties, import permits, taxes and local clearance are the buyer's responsibility unless agreed otherwise.
The buyer must inspect packages and documents promptly after delivery and report shortages, visible damage or specification concerns within the period stated in the contract. Material should be stored under the conditions on the label and specification while a claim is reviewed.
6. Product use, safety and compliance
The buyer is responsible for determining whether the selected papain grade is suitable and lawful for the intended food, feed, cosmetic, oral-care, industrial, research or regulated application. Food-grade or feed-grade descriptions do not create automatic approval in every country.
- Follow the supplied specification, SDS, storage conditions and workplace controls.
- Prevent enzyme dust or aerosol exposure and use suitable personal protective equipment.
- Do not make medical, therapeutic, nutritional or performance claims without appropriate finished-product evidence and legal review.
- Do not use a research or industrial grade in a sensitive application unless ProEnzyme has expressly confirmed the selected specification for that use.
7. Warranty and limitation of liability
ProEnzyme warrants that supplied products will conform to the agreed written specification at release, subject to proper transport, storage and use. Any remedy for a confirmed non-conforming product is limited, at our option and to the extent permitted by law, to replacement, credit or refund of the affected material.
We do not warrant a particular result in the buyer's process or finished product. ProEnzyme is not liable for indirect, incidental, special, consequential or punitive loss, lost profit, lost production or claims caused by an unapproved use, unsuitable formulation, poor storage or failure to validate the customer's process. Nothing excludes liability that cannot lawfully be excluded.
8. Intellectual property and confidentiality
The ProEnzyme name, logo, website content, specifications, technical materials and proprietary processes remain the property of ProEnzyme or the relevant licensor. They may not be copied, altered or used commercially without written permission.
Confidential information shared for an enquiry, trial or contract must be used only for that purpose and protected with reasonable care. Separate confidentiality or development agreements may apply and will take priority where they conflict with this general clause.
9. International trade and force majeure
Customers must comply with import, export, sanctions, product-registration and other trade rules that apply to the transaction. ProEnzyme may request end-use information or refuse a shipment that could violate law. Neither party is liable for delay caused by events beyond reasonable control, including transport disruption, natural disaster, government action or supply interruption, subject to the contract.
10. Governing law and changes
These Terms are governed by the laws of India. Courts of competent jurisdiction in Maharashtra, India will have jurisdiction unless a signed contract requires another lawful dispute process. The parties should first try to resolve a dispute through good-faith discussion.
We may update these Terms when the website, products or law changes. Updated terms apply from the date posted. A signed quotation, purchase agreement or supply contract takes priority for the relevant transaction.
